CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT (NDA)

Confidential Asset Access Condition of Di Pregio Immobiliare

BETWEEN:
• Disclosing Party: Di Pregio Immobiliare by Ileana Mihaela Serban
• Receiving Party: The User accepting via electronic checkbox

  1. PREMISES
    Di Pregio Immobiliare manages prestigious properties under absolute exclusivity.
    By virtue of the mandate, it is bound to utmost confidentiality on the asset in the Confidential Dossier.
    It pledges to extend the same standard to the Receiving Party.
  2. SCOPE OF CONFIDENTIAL INFORMATION
    Confidential Information means all data, plans, photos, videos, income, prices, exact location and any information in the Confidential Dossier.
    The obligation binds jointly both the accessing person and the ultimate principal.
  3. CONFIDENTIALITY
    The Receiving Party undertakes to maintain absolute confidentiality and not to disclose the Information to any third party.
    To protect the principals’ privacy, dissemination to family, neighbours or staff of the structure is prohibited.
  4. NON-CIRCUMVENTION
    The Receiving Party shall not contact the owner, his family or other intermediaries directly.
    Any negotiation shall be exclusively through Di Pregio Immobiliare.
  5. LEGAL VALIDITY, TERM AND JURISDICTION
    This NDA is validly concluded via electronic checkbox under Art. 1341 and 1342 of the Italian Civil Code.
    Mandatory term: 5 years. Exclusive Jurisdiction: Court of Latina, Italy. Italian Law.
  6. NO OBLIGATION AND FEE PROTECTION
    This NDA creates no obligation to purchase.
    In case of sale or lease concluded, even indirectly or via interposed person within 5 years, the fee indicated in the Confidential Dossier shall be immediately due by the Receiving Party in favour of Di Pregio Immobiliare by Ileana Mihaela Serban (Disclosing Party) as liquidated damages.
  7. RETURN AND ACCEPTANCE
    Upon request, the Receiving Party shall destroy all material received.
    By checking “I accept the NDA and fee protection as per Confidential Dossier” it declares to have read and fully accepted.

Purposes and Legal Basis

Data collected via “Restricted Access” form are processed to verify investor identity, fulfil the Confidentiality Mandate (NDA) and manage private communications. Legal basis: pre-contractual measures and legitimate interest.

Retention and Security

Advanced cryptographic protocols. Maximum retention 5 years, aligned with NDA. Data shall never be sold or disclosed to third parties.

Rights and Governing Law

Right to access, rectify, erase or object by written request to the Controller. The right to lodge a complaint with the Italian Data Protection Authority remains unaffected. Governed by Italian law, exclusive jurisdiction Court of Latina.
